What are you announcing today?
HDNet, AEG, Ryan Seacrest Media (RSM), and Creative Artists Agency (CAA) formed a joint venture that will rebrand HDNet/HDNet Canada to launch AXS TV (pronounced: access).

What are the financial terms of this deal?
The financial terms of this transaction will not be disclosed.

Who will run/manage AXS TV?
Mark Cuban will continue to lead the channel on behalf of the venture and Philip Garvin will continue as General Manager of the network operations based in Denver, CO.

What does “rebrand” mean?
HDNet will adopt a new brand identity and new moniker – AXS TV, and the channel will evolve its programming vision.

What kind of programming will AXS TV offer?
Scheduled to debut this summer, AXS TV will leverage the global reach and portfolio of content opportunities of its partners to create live entertainment and lifestyle programming. Capitalizing on AEG’s unrivaled presence in live events and affiliation with more than 100 of the industry’s pre-eminent venues worldwide, AXS TV will provide viewers with exclusive behind-the-scenes access to live concerts and music festivals, red carpet premieres, award shows, parties, pop culture events, and in-depth interviews with the people and artists who make live entertainment so uniquely fascinating. HDNet’s signature programming including HDNet Fights, Inside MMA, award-winning Dan Rather Reports, Sunday concert series, and select non-scripted series will continue on AXS TV.

What will the audience reach of AXS TV be?
Beginning Summer 2012, AXS TV will deliver a full schedule of Live Entertainment and Lifestyle Programming to over 35 million homes across North America.

How is Dish involved in this venture?
DISH Network, L.L.C., the nation’s third largest Pay TV provider, has agreed to expand its carriage of the rebranded HDNet into eight million additional homes through its America’s Top 120 programming package, resulting in AXS TV reaching well over 35 million North American households.

In addition to the increased distribution of the re-branded network, DISH will begin offering a large selection of AXS-branded Headliner Club Video On Demand concerts starting on March 15, 2012. Capitalizing on AEG’s unrivaled presence in the promotion of live events and nationwide network of clubs, DISH Network will also launch a new AXS-branded Headliner Club ticketing program providing unique ticketing opportunities for AXS TV subscribers. Amenities include early on-sale tickets, premium seating, private viewing areas and food & beverage specials. Starting August 1, 2012, DISH will launch AXS Hometown Headliner, an online audition site providing local bands and musicians the opportunity to audition to perform at an AEG affiliated club or theater.

Will the rebranded HDNet – AXS TV – be on other distributors besides DISH?
Yes. AXS TV will continue to be available on HDNet’s existing distributors including DIRECTV, Comcast, Verizon FiOS, AT&T U-Verse, Charter, NCTC-member systems, and Suddenlink.

How is Ryan Seacrest involved in this venture?
A holding company, Ryan Seacrest Media (RSM), holds an ownership stake in AXS TV. RSM will also provide access to Seacrest’s multi-media platforms, and celebrity and brand relationships, as well as assist in the corporate brand development for AXS TV. Additionally, under terms of the deal, Ryan’s entertainment production company, Ryan Seacrest Productions (RSP), will develop and produce programming for AXS TV.

When was HDNet founded?
Launched in 2001 by Mark Cuban and General Manager Philip Garvin, the HDNet networks are available in the U.S. via AT&T U-verse, Charter, Comcast, DIRECTV, DISH Network, Insight, Suddenlink and Verizon FiOS and in Canada via Access Communications, an d Cogeco.

Will HDNet’s programming change with the rebranding effort to AXS TV?
In order to embrace the programming vision of AXS TV, yes, programming will likely evolve over time. But HDNet’s signature programming including HDNet Fights, Inside MMA, award-winning Dan Rather Reports, Sunday concert series, and select non-scripted series will continue on AXS TV.

Are there plans for scripted programming on this network or will AXS focus primarily on live events?
The overall content strategy is still being developed; however, the initial plan is to focus on live entertainment and event programming. AXS TV will provide viewers with exclusive behind-the-scenes access to live concerts and music festivals, red carpet premieres, award shows, parties, pop culture events, and in-depth interviews with the people and artists who make live entertainment so uniquely fascinating. HDNet’s signature programming including HDNet Fights, Inside MMA, award-winning Dan Rather Reports, Sunday concert series, and select non-scripted series will continue on AXS TV.
